CUSTOM JOKERR INSTRUMENTAL

For one custom Jokerr instrumental.

TERMS AND CONDITIONS:
1. Payment: The Licensee paid the Licensor a non-refundable fee of $500.00 USD for the exclusive use of the
instrumental that is being licensed in this agreement, for the purpose of creating a live or recorded musical
performance.

2. Master Recording: The Licensor hereby grants the Licensee the non-exclusive right to record and synchronize
vocals and/or instruments to the instrumental to create one (1) new composition. This license does not authorize
use of the instrumental in additional compositions. The Licensee must obtain an additional license from the
Licensor for any additional composition using the instrumental. The Licensee shall not edit the instrumental in any
way including, but not limited to: changing the arrangement, removing or altering melodies, instruments, drum
and rhythm programming, or resampling sounds that are contained within the instrumental.

3. Profitable Distribution: The Licensee may distribute one (1) version of the Master Recording for profitable use.
The Licensee may distribute unlimited copies of the Master Recording.

4. Ownership Rights: The Licensor retains all rights in and to the instrumental including all rights in and to the
underlying composition. The Licensor may continue to sell or license the instrumental non-exclusively and/or
exclusively after a term of 5 years from date of this transaction. The Licensee shall not sell or license the rights to the instrumental, whether in whole or part, to any
other party. In the event the Licensor sells exclusive rights to the instrumental, the Licensee shall retain his/her
non-exclusive rights subject to the terms and conditions of this agreement. At any point Licensor can buy back the exclusive rights to this instrumental at a rate of $1000 USD.

5. Production Credit: The Licensee will give production credit to the Licensor on all copies of, and advertisements
for, any recordings containing this instrumental. Credit must be given in the following format: “Prod. By
The Jokerr with The Jokerr Ent”.

By purchasing you declare that you have read, understood, and agreed to the above
terms and conditions. Furthermore, you agree that any form of violation of this agreement shall result in the
revocation of the exclusive license and termination of this agreement. Neglecting the terms and conditions
stated in this agreement, including but not limited to any usage by an unlicensed individual or organization, will be
prosecuted to the maximum possible extent under the law.
